1. LEGAL AGREEMENT

By accessing any website, application, or digital service (“Service“) operated by TikStats OÜ (Reg. No. 16347697, Estonia), you agree to these legally binding Terms. Continued use constitutes acceptance.

2. DEFINITIONS

  • “We/Us”: TikStats OÜ (Valukoja tn 8/2, 11415 Tallinn).
  • “You”: Any user (individual/entity) of the Service.
  • “Content”: Data, code, text, or media within the Service.

3. INTELLECTUAL PROPERTY SHIELD

3.1. Ownership:
All Service-related IP (code, trademarks, Content) is exclusively owned by TikStats OÜ or licensors.

3.2. Limited License:
You receive a non-exclusive, non-transferable, revocable license to:
✔️ Access the Service for personal/non-commercial use
✖️ Not to modify, reverse-engineer, or extract data without written consent.

4. USER PROHIBITIONS (ZERO TOLERANCE)

You expressly AGREE NOT TO:

  • Scrape, spider, or use automated data extraction tools
  • Bypass security measures or disrupt infrastructure
  • Upload malware, illegal content, or spam
  • Violate laws (copyright, GDPR, etc.)
  • Impersonate others or share fraudulent data

5. LEGAL DISCLAIMERS & LIABILITY CAP

5.1. Service “As Is”:

  • ❌ No warranties of accuracy, merchantability, or fitness
  • ❌ No guarantee of uninterrupted/error-free operation

5.2. Strict Liability Limitation:

  • TikStats OÜ shall NOT be liable for:
    → Indirect, consequential, or punitive damages
    → Data loss, business interruptions, or third-party actions
  • Maximum liability cap: €100 or 3 months’ fees paid (whichever lower).

6. USER INDEMNIFICATION

You WILL DEFEND AND INDEMNIFY TikStats OÜ against all claims arising from:

  • Your breach of these Terms
  • Your misuse of the Service
  • Your violation of third-party rights

7. DATA PROTECTION COMPLIANCE

7.1. All data handling follows our Privacy Policy (linked separately).
7.2. By using the Service, you consent to:

  • Cross-border data transfers where applicable
  • Processing under GDPR/CCPA standards

8. TERMINATION & SUSPENSION

We may terminate access immediately if you:

  • Breach these Terms
  • Engage in illegal/fraudulent activity
  • Threaten system integrity

9. LEGAL SAFEGUARDS

9.1. Governing Law:
Estonian law (excluding conflict-of-law principles).

9.2. Dispute Resolution:

  • Mandatory Arbitration: All disputes resolved through binding arbitration in Tallinn under Estonian Arbitration Association rules.
  • Class Action Waiver: No class actions or jury trials permitted.

9.3. Amendment Rights:
We reserve the right to modify Terms unilaterally. Continued use = acceptance.

10. GENERAL PROVISIONS

  • Severability: If any clause is invalid, others remain enforceable.
  • Force Majeure: Not liable for events beyond reasonable control (e.g., wars, natural disasters).
  • Assignment: You may not transfer rights; we may assign to affiliates.
